Marshall Davidson and his former investment banking colleague, Jim Valeo, have recently formed a new advisory firm, Financial Services Advisories LLC (“FSA”), to advise companies and investors in the financial services industry. 

FSA will advise on business planning, valuations, raising capital, mergers, acquisitions and sales, asset strategies, restructurings and reorganizations and negotiations with shareholders, creditors, investment banks and regulators.

For more than twenty years, Davidson was as a senior corporate finance professional with Wall Street firms including The First Boston Corporation, Drexel Burnham Lambert and Kidder, Peabody & Co.  He and his associates worked with client companies in many industries on private and public securities offerings, mergers, acquisitions, sales, restructurings, and recapitalizations.

During the bank and thrift crises of the late 1980s and early 1990s, Davidson and his associates advised clients on several signature transactions including:

  • Mellon Bank Corporation on the Grant Street “bad bank” transaction, a complex asset restructuring that enabled the largest non-assisted bank restructuring and recapitalization;

  • NationsBank on the FDIC-assisted acquisition of First Republic of Texas;

  • Organizing the investor group and managing the FDIC-assisted acquisition, reorganization and recapitalization of New Dartmouth Bank in New Hampshire. New Dartmouth’s sale two years later created significant returns to its investors.

As a law student at St. Mary’s University Law School in San Antonio, Davidson organized Continental National Bank, the first Mexican-American controlled bank in San Antonio, where he recruited the organizing board of directors and raised the capital and initial deposits.

From 1997 -2001, Davidson was founder and CEO of APBnews.com (“APB”), an award-winning multimedia company based in New York City.

Davidson is a non-practicing member of the State Bar of Texas. He is also currently involved as an entrepreneur and founder of Web-based business services and media business ventures.

JAMES G. VALEO

James Valeo and his former investment banking colleague, Marshall Davidson, have recently formed a new advisory firm, Financial Services Advisories LLC (“FSA”), to advise companies and investors in the financial services industry.

FSA will advise on business planning, valuations, raising capital, mergers, acquisitions and sales, asset strategies, restructurings and reorganizations and negotiations with shareholders, creditors, investment banks and regulators.   

Jim Valeo currently owns and is Chairman of Montana Mortgage Company, a retail mortgage banking firm serving the Inland Northwest.  As such, he is familiar with all aspects of the mortgage business including originations, processing, underwriting, warehousing, and secondary marketing.

Valeo previously spent more than twenty years in the investment banking business with firms including Salomon Brothers and Drexel Burnham Lambert.  Throughout much of his investment banking career, Valeo specialized in advising financial institutions, primarily commercial banks, thrifts, and mortgage companies.  He was involved in all aspects of investment banking for these clients, including capital raising, asset securitization, collateralized bond financing, restructuring, initial public offerings, and mergers and acquisitions.  While at Salomon Brothers, Valeo was involved in the early stages of designing and underwriting conventional mortgage backed pass through securities.

Subsequent to his investment banking career and during the “thrift crisis” of the late 1980’s, Valeo was engaged in advising both troubled and healthy thrifts on capital raising, regulatory compliance, and restructuring matters.

Valeo also did expert witness work on cases involving the impact of FIRREA on the thrift industry.

Valeo’s early professional years were spent in commercial banking at a major New York bank.
